By accessing or using the Synter.ai platform and services (“Service”), you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree with any part of these Terms, you must immediately cease using the Service.
Synter.ai grants you a limited, non‑exclusive, non‑transferable right to access and use the Service strictly in accordance with these Terms and the applicable Order Form. You agree not to:
Customers may create user accounts and designate administrators to manage permissions and access rights. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Synter.ai immediately of any unauthorized use or security breach.
All intellectual property rights, title, and interest in and to the Service, including any software, documentation, trademarks, and underlying AI models, are owned by Synter.ai or its licensors. Nothing in these Terms grants you any ownership rights in the Service.
You agree to pay all fees specified in the Order Form in accordance with the payment terms therein. Unless otherwise stated, fees are non‑refundable and exclusive of all taxes. Synter.ai reserves the right to suspend or terminate Service for overdue payments after providing at least ten (10) days’ written notice.
You grant Synter.ai a worldwide, royalty‑free, transferable license to use, reproduce, and display any data, feedback, or content you submit to the Service solely to provide and improve the Service. Synter.ai may use aggregated, anonymized data for product development and benchmarking.
Each party agrees to hold the other’s Confidential Information in strict confidence and not to disclose it to any third party without the disclosing party’s prior written consent. This obligation survives termination of these Terms for a period of three (3) years.
Synter.ai processes personal data in accordance with our Privacy Policy, which complies with GDPR, CCPA, and other applicable data protection laws. You are responsible for obtaining any consents required to permit Synter.ai to process Customer Data on your behalf.
You agree to comply with all applicable laws, rules, and regulations in your use of the Service, including export control and data protection laws. You will not use the Service for any unlawful or fraudulent activities.
The term of these Terms begins on the Effective Date set forth in the Order Form and continues until all subscriptions have expired or been terminated. Either party may terminate these Terms for material breach if the breach remains uncured for thirty (30) days after written notice.
THE SERVICE IS PROVIDED “AS IS,” AND SYNTER.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. Synter.ai does not warrant that the Service will be uninterrupted or error‑free.
IN NO EVENT WILL SYNTER.AI BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR REVENUE. SYNTER.AI’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE twelve (12) MONTHS PRECEDING THE CLAIM.
These Terms will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in San Francisco County, California.
Synter.ai may modify these Terms from time to time. We will provide notice of changes by email or via the Service at least thirty (30) days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
